NOTICE IS HEREBY GIVEN that on May 29, 2026, beginning at 10:15 A.M. (prevailing Eastern Time) (the “Date of Sale“), Abraham Talassazan (together with his successors and assigns, the “Secured Party“), intends to sell the collateral described below at a public sale in accordance with Section 9-610 of the Uniform Commercial Code in effect in the State of New York (“UCC“).
The public sale will take place via Zoom auction (or a similar online platform) rather than in-person. All interested prospective purchasers that meet the qualifications for bidding are invited to attend and bid at the auction. Secured Party will sell all right, title and interest of BSD Simcha 26 LLC, a Delaware limited liability company (“Debtor“) to the following collateral:
(i) all limited liability company interests in Tahor 26 LLC, a Delaware limited liability company (“Tahor 26“), and all other collateral pledged by Debtor BSD Simcha 26 LLC under the Pledge Agreement (as hereinafter defined); (the “Collateral”).
Based upon information provided by the Debtor and/or certain other persons and entities affiliated therewith, it is the understanding of the Secured Party (but without any warranty or representation by the Secured Party as to the accuracy or completeness of the following matters) that:
Debtor BSD Simcha 26 LLC owns all limited liability company interests in Tahor 26 LLC, a Delaware limited liability company;
Tahor 26 LLC owns all limited liability company interests in Tahor 26 Mezzanine LLC, a Delaware limited liability company;
Tahor 26 Mezzanine LLC owns all limited liability company interests in Tahor 26 Owner LLC, a Delaware limited liability company,
Tahor 26 Owner LLC owns a nineteen percent (19%) tenant-in-common interest in the real property commonly known as 295 Madison Avenue, New York, New York Manhattan Block 1275 Lot 50 (the “Property“);
The Property is subject to a first priority mortgage securing indebtedness in the original principal amount of $185,000,000.00 and presently in the outstanding principal amount of approximately $147,000,000.00 (the “Mortgage Loan“), made by Aarael Capital Corporation as Mortgage Lender, to Tahor 26 Owner LLC (“Tahor Mortgage Borrower“) and 295 Madison Property Owner LLC (“295 Madison Mortgage Borrower” and together with Tahor Mortgage Borrower, “Mortgage Borrowers“).
The public sale is being conducted in connection with Secured Party’s enforcement of remedies under the Pledge Agreement, pursuant to which the Debtor pledged the Collateral as security for the Loan.
